Welcome to Overhops! These Terms of Service govern your use of the Overhops platform, which is owned and operated by Pacific Alco Holdings LLC, a New Mexico limited liability company.

By accessing this website, creating an account, or using any of our services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. Please read them carefully before using our services.

1. Acceptance of Terms

By accessing this website, creating an account, or using any of our services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use Overhops.

Pacific Alco Holdings LLC reserves the right to update and change these Terms of Service from time to time without prior notice. Your continued use of the platform following any changes constitutes acceptance of those changes.

2. Definitions

The following terminology applies to these Terms and Conditions, Privacy Statement, and all Agreements:

  • "Platform" or "Service" refers to the Overhops website, mobile applications, and all related services.
  • "User," "You," and "Your" refers to the person accessing or using the Overhops platform.
  • "Mentor" refers to professionals offering guidance, advice, or services through the platform.
  • "Mentee" or "Client" refers to users seeking mentorship, career guidance, or related services.
  • "Company," "We," "Our," and "Us" refers to Pacific Alco Holdings LLC, a New Mexico limited liability company, operating under the brand name Overhops.
  • "Content" refers to all information, data, text, software, graphics, photos, videos, or other materials.
  • "Services" refers to mentorship sessions, career consultations, community access, and any other offerings provided through Overhops.

3. Description of Services

Pacific Alco Holdings LLC provides the Overhops platform, which connects users with mentors, professionals, and communities for the purpose of:

  • Career guidance and professional development
  • One-on-one mentorship sessions
  • Industry insights and advice
  • Visa and immigration guidance
  • Educational pathway counseling
  • Community networking and support
  • Digital content and resources

Overhops acts as an intermediary platform connecting mentors and mentees. Pacific Alco Holdings LLC does not directly provide mentorship services but facilitates connections between users.

4. User Accounts and Registration

4.1 Account Creation

To access certain features of Overhops, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4.2 Account Eligibility

You must be at least 18 years of age to create an account and use our services. By creating an account, you represent and warrant that you meet this age requirement.

4.3 Account Types

Overhops offers different account types:

  • Mentee Accounts: For users seeking guidance and mentorship
  • Mentor Accounts: For professionals offering their expertise and services

Each account type has specific rights, responsibilities, and features as outlined in these Terms.

5. Mentor Responsibilities and Guidelines

If you register as a Mentor on Overhops, you agree to:

  • Provide accurate information about your qualifications, experience, and expertise
  • Conduct sessions professionally and deliver services as described
  • Maintain confidentiality of mentee information shared during sessions
  • Comply with all applicable laws and regulations in your jurisdiction
  • Set fair and transparent pricing for your services
  • Honor scheduled sessions and provide adequate notice for cancellations
  • Not misrepresent your credentials or experience
  • Provide honest and constructive guidance to mentees

Mentors acknowledge that they are independent contractors and not employees, partners, or agents of Pacific Alco Holdings LLC or Overhops. Mentors are responsible for their own tax obligations and compliance with local regulations.

6. Mentee Responsibilities

If you use Overhops as a Mentee, you agree to:

  • Treat mentors with respect and professionalism
  • Attend scheduled sessions or provide timely cancellation notice
  • Make payment for services as agreed
  • Not record sessions without explicit consent from the mentor
  • Use information and advice provided for lawful purposes only
  • Provide honest feedback to help improve the platform

7. Payments and Fees

7.1 Pricing

Mentors set their own pricing for services offered through the platform. All prices are clearly displayed before booking. Prices may vary based on session type, duration, and mentor expertise.

7.2 Payment Processing

All payments are processed securely through our third-party payment processors. By making a payment, you agree to the payment processor's terms and conditions.

7.3 Platform Fees

Overhops charges a service fee on transactions processed through the platform. This fee covers platform maintenance, payment processing, customer support, and ongoing development. The current fee structure is available on our pricing page.

7.4 Refund Policy

Refunds are handled on a case-by-case basis and depend on the circumstances:

  • Mentor Cancellation: Full refund if a mentor cancels a session
  • Mentee Cancellation: Refunds depend on the cancellation policy set by the individual mentor and the timing of the cancellation
  • Service Issues: If you experience technical issues or service problems, contact our support team for resolution
  • No-Show: No refunds for mentee no-shows without prior cancellation

7.5 Payout Terms for Mentors

Mentors will receive payouts according to our payment schedule, typically within 7-14 business days after a completed session. Minimum payout thresholds may apply. All payouts are subject to successful completion of services and compliance with these Terms.

8. Booking and Cancellation Policy

8.1 Booking Sessions

Users can book sessions through the Overhops platform based on mentor availability. Confirmation will be sent via email and/or platform notification.

8.2 Cancellations and Rescheduling

Cancellation and rescheduling policies are set by individual mentors and displayed on their profiles. Users should review these policies before booking. Generally:

  • Cancellations made 24+ hours in advance may be eligible for full refund
  • Cancellations made less than 24 hours in advance may be subject to fees
  • Mentors who cancel will not receive payment for that session
  • Repeated cancellations by either party may result in account review or suspension

9. User Content and Conduct

9.1 User-Generated Content

You retain ownership of content you create and share on Overhops, including profile information, reviews, comments, and messages. By posting content, you grant Pacific Alco Holdings LLC a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Overhops platform.

9.2 Prohibited Content and Conduct

You agree not to post content or engage in conduct that:

  • Is illegal, fraudulent, or violates any laws or regulations
  • Infringes upon intellectual property rights of others
  • Contains harmful, threatening, abusive, harassing, defamatory, or discriminatory material
  • Promotes violence, hatred, or harm against individuals or groups
  • Contains sexually explicit or pornographic content
  • Spreads false information or impersonates others
  • Solicits personal information from minors
  • Contains viruses, malware, or other harmful code
  • Spams, scams, or engages in fraudulent activities
  • Violates the privacy of others
  • Attempts to manipulate reviews or ratings

9.3 Content Moderation

Pacific Alco Holdings LLC reserves the right to monitor, review, and remove any content that violates these Terms or is otherwise objectionable. We are not obligated to monitor content but may do so at our discretion.

10. Intellectual Property Rights

10.1 Overhops IP

All content on the Overhops platform, including but not limited to text, graphics, logos, icons, images, software, and design, is the property of Pacific Alco Holdings LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. The Overhops name, logo, and all related marks are trademarks of Pacific Alco Holdings LLC.

10.2 Limited License

Pacific Alco Holdings LLC grants you a limited, non-exclusive, non-transferable license to access and use the platform for your personal or business use in accordance with these Terms. You may not:

  • Copy, modify, or create derivative works from Overhops content
  • Reverse engineer or decompile any aspect of the platform
  • Use automated tools (bots, scrapers) to access the platform
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use Overhops branding without written permission

10.3 Mentor Content

Mentors retain ownership of their original content, methodologies, and materials. However, general career advice and publicly available information shared during sessions are not considered proprietary.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Overhops, you consent to our data practices as described in the Privacy Policy.

Key points include:

  • We collect information necessary to provide our services
  • We protect your data using industry-standard security measures
  • We do not sell your personal information to third parties
  • You have rights to access, modify, and delete your data
  • Session content and conversations remain private between mentor and mentee

12. Third-Party Services and Links

Overhops may integrate with or link to third-party services (such as payment processors, video conferencing tools, or calendar applications). Your use of these third-party services is governed by their respective terms and conditions and privacy policies.

We are not responsible for:

  • The availability, accuracy, or content of third-party services
  • Any damages or losses arising from your use of third-party services
  • The privacy practices of third-party services

We recommend reviewing the terms and policies of any third-party services you use through our platform.

13. Disclaimer of Warranties

THE OVERHOPS PLATFORM AND ALL SERVICES ARE PROVIDED BY PACIFIC ALCO HOLDINGS LLC ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Pacific Alco Holdings LLC disclaims all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that the service will be uninterrupted, secure, or error-free
  • Warranties regarding the quality or outcome of mentorship services

Important: Pacific Alco Holdings LLC and Overhops do not guarantee employment, visa approval, educational admission, or any specific outcome from using our services. Mentorship and advice are provided for informational purposes and should not be considered as professional legal, financial, or immigration advice.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACIFIC ALCO HOLDINGS LLC, OVERHOPS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the platform
  • Actions or advice provided by mentors on the platform
  • Unauthorized access to or alteration of your data
  • Third-party conduct or content on the platform

In no event shall Pacific Alco Holdings LLC's or Overhops's total liability to you exceed the amount you paid to Overhops in the twelve (12) months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Pacific Alco Holdings LLC, Overhops, and their respective officers, directors, members, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or conduct on the platform
  • Services you provide or receive through the platform

16. Account Termination and Suspension

16.1 Termination by User

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination:

  • Your access to the platform will be revoked
  • Any scheduled sessions should be canceled or completed
  • Outstanding payments must be settled
  • Some information may be retained as required by law or for legitimate business purposes

16.2 Termination by Overhops

Pacific Alco Holdings LLC reserves the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms of Service
  • Fraudulent, illegal, or harmful activity
  • Abuse of the platform or other users
  • Non-payment or payment disputes
  • Inactivity for an extended period
  • Any other reason at our sole discretion

16.3 Effect of Termination

Upon termination:

  • Pending payouts may be forfeited if earned through fraudulent or prohibited means
  • You must immediately cease using the platform
  • Certain provisions of these Terms (including indemnification and limitation of liability) survive termination

17. Dispute Resolution

17.1 Informal Resolution

If you have a dispute with Pacific Alco Holdings LLC, Overhops, or another user, please first attempt to resolve it informally by contacting our support team. We are committed to working with you to reach a fair resolution.

17.2 Arbitration Agreement

If an informal resolution cannot be reached, you agree that any disputes arising from these Terms or your use of Overhops will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify. The arbitration will be conducted in accordance with the American Arbitration Association (AAA) rules and will take place in New Mexico.

17.3 Class Action Waiver

You agree to resolve disputes with Pacific Alco Holdings LLC and Overhops on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

17.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New Mexico, and the parties hereby consent to personal jurisdiction and venue therein.

18. Changes to Services and Terms

Pacific Alco Holdings LLC reserves the right to:

  • Modify, suspend, or discontinue any aspect of the Overhops platform at any time
  • Update these Terms of Service with or without notice
  • Change pricing, features, or offerings
  • Implement new policies or guidelines

We will make reasonable efforts to notify users of significant changes. Your continued use of the platform after changes constitutes acceptance of the updated Terms.

19. Miscellaneous Provisions

19.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Pacific Alco Holdings LLC regarding use of the Overhops platform and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.3 Waiver

The failure of Pacific Alco Holdings LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

19.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. Pacific Alco Holdings LLC may assign these Terms without restriction to any affiliate, subsidiary, or in connection with any merger, acquisition, or sale of assets.

19.5 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Pacific Alco Holdings LLC or between mentors and mentees. All mentors are independent contractors and not employees or agents of Pacific Alco Holdings LLC.

19.6 Force Majeure

Pacific Alco Holdings LLC and Overhops shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.
